For example, a sole proprietorship can deduct any legitimate business expense; such as cell phone, car miles, gas used for business travel, plane fare for business travel, etc. Check with your CPA to confirm that this is true for your specific situation.

When you file your personal taxes, your accountant should provide you with a K1 for your business and include the profit or loss statement within your personal income tax return. This is different from that of a c corporation because a c corporation exists as a legal and separate entity from its shareholders. The shareholders would include on their tax returns any dividends or salary received from the business in the year, and not the specific income earned by the business.

Requirements for Forming L.L.C.

There are many requirements for filing an LLC and some of them are:

1. LLC must have at least 1 member
2. LLC must maintain an operating agreement. An operating agreement is commonly considered a roadmap for your business. It will give the members, or owners, direction detailing how to handle specific situations for the business.
3. Articles of Organization must be filed with your Secretary of States Corporation Bureau. Most Secretary of States web sites provide detailed instructions on how to file, where to file, how much to pay, and the annual requirements if any. For example, the State of California requires all LLCs to file an annual Statement of Information detailing the members of the entity. This form is also required for corporations.

Seems pretty easy doesn't it? Well setting up the LLC generally is easy, especially if you are planning to operate a single or two members LLC. The more complex your business plan, the more complex both the operating agreement and articles will become. If you are planning on setting up a business as an LLC with members whom you do not know, you should consider consulting with an attorney to protect your rights. There are many examples of businesses that don't succeed, and examples of businesses that have management issues and differing opinions between members. Protect your interest by investing the additional time and money and ensure that you have protected your assets. An attorney will be able to guide you and alert you to any pitfalls that may occur. There are many service companies available and this may be a good route for you if you are planning on setting up a single member or multi member LLC. Before you file, do your homework and make sure that you can trust your partners and that you have the proper articles and operating agreement in place.

How to Form an LLC and pay less in taxes

As mentioned earlier, you can form a LLC by self-filing your articles, pay a service provider, consult an attorney, or even talk to your accountant. No matter which filing method you prefer or even choose, you must think of your LLC from a tax perspective. Once you have decided that an L.L.C. or corporation is right for you, the major determining factor should be to reduce your overall taxes. Each state will have different tax requirements and tax rates so check with your accountant and ask which is best for you. Some articles or web sites will claim that one is better than the other, but its outside of the scope of an article to make this claim.

Many States now offer online filing methods for starting your LLC. Filing online in many states is easy and takes only a few minutes. You will need to have a major credit card or debit card to complete the process of setting up your LLC. Once you place your order online, the state will review it and typically respond within 1-5 business days.

First, you will need to check for name availability. This process is typically easy as most states offer web sites to check for available names. You can use the freely provided tools to look for available names within your state.

Next, you will want to follow state requirements that can be found on Secretary of State web sites. Visit the state web site to find a sample and make sure that you follow the article requirements or your documents will be returned for correction. In states like California and New York, returned documents can waste valuable time.

You should view your operating agreement as a roadmap for your LLC and a guide to handle the tough questions. In some situations, dissolving an LLC can be quite easy to do, and it is completed in most states by filing a simple form notifying the state of the intention to dissolve.

Power Yoga – this is a western interpretation of Yoga and is based on Ashtanga Yoga. A Power Yoga class may not necessarily stick to the exact sequence of poses like Ashtanga Yoga does, but it does involve practicing a series of poses without stopping and starting.

Iyengar Yoga – This type of Yoga is based on teachings by B.K.S Igengar and concentrates on the correct alignment and form of the body. Unlike Ashtanga Yoga, there is an emphasis on holding each pose for a long period of time rather than moving constantly from one pose to the next. Iyengar Yoga uses props such as blocks and straps to help align the body into the different poses.

Vinyasa Yoga – Vinyasa means breath synchronized movement and is another fast paced type of Yoga, with an emphasis on breathing. A practice typically starts with sun salutations and moves on to more intense stretching. Throughout the practice each pose is balanced with a counter pose.

Bikram Yoga – otherwise known as “Hot Yoga”, is practiced in a room heated to 105 degrees, with a humidity of around 40%. Generally a sequence of 26 different poses is practiced during a Bikram Yoga class and the hot temperature helps to loosen muscles. Due to the high temperature most people sweat a lot during the class and this helps to cleanse the body of toxins.

If you’re just starting out or have never done any Yoga before, I recommend trying a few different types of yoga to find out what you like best.

Remember, there’s no rule that says you have to stick to one type of Yoga. I like Ashtanga Yoga best, but I also go to occasional Iyengar and Hatha Yoga classes for a bit of variety.

When I was young (oh here we go!) hearing aids were called deaf aids (and could be seen from outer space!).

Was it political correctness or PR spin that made it change?

Did we just want to replace the negativity of being deaf with the positivity of better hearing?

I used to think so, but I was wrong, not totally, but wrong enough.

If it was PR spin then it didn't go far enough.

Why do so many people wear glasses and so few wear hearing aids?

I suppose you could argue that being able to read is the main reason.

Try reading this without your glasses, a significant number of the population couldn't.

There are,however,other reasons.

Spectacles have been given an image. Cool,sexy,intelligent people wear spectacles.

Most people who have a need for glasses, don't hesitate to try them on and see how they look.

Contrast that with the image of hearing aids.

Elderly,uncool,disabled,all negative connotations.

Also, do we need perfect hearing like we need to see for reading and driving? Well,we can get away with a lot more with our hearing...but why should we?

Why should we have to struggle with imperfect hearing.

Why should we have to put up with not following conversations?

Why can't we have superhuman hearing?

We have the technology (and if we don't we ought to have).

I see the future of hearing aids as three fold.

I did call. I got the information, had my questions answered and ordered my long distance service changed.
The company who offered me the long distance service was using a time tested 2 step selling process:

Step 1. Generate a lead - Get me to call their 800 number.

Step 2. Provide the requested information - Provided to me on the phone by one of their sales representatives, who was able to answer my questions and make me feel confident that I could save quite a bit of money on my long distance bill and that the service would be as good or better.

Why We Designed Our Own NAS Servers For Use In Our Data Center

Over the past few years, we at Technetium, Inc. have had the opportunity to deal with Snap because of our model 14000 Snap servers. One day we installed new managed switches and the Snap Web-based management console would no longer operate. It would just hang at gigabit speed. To make a long story short, after exhausting all of my options on the Internet, I sent Snap technical support an email to try and resolve the problem. Here is their response:

To my dismay, they wanted $120 just to talk to me, and my bet is they wanted another $1,000 or so to upgrade the software. On their Website I could not find any way to buy support for this model any more. And by the way, to add replication between 2 of their Snap servers, it would cost something like $1,000 per box.

So, here we are, with 2 boxes, no support, and I'll bet that you can't even buy parts for it any more from Snap, much less anywhere else (maybe eBay?).

Off we go to buy new NAS replacements. Originally these 14000's were $10K apiece, for roughly 1TB of storage. All things being equal, I should be able to buy a NAS box for really cheap (yeah right!). What I found was that a high-quality NAS system that would do RAID 5 would cost between $3,500 and 4,500, not to mention that a 1TB Snap 520 would be over $5K. That is when we decided to build our own NAS servers!

With a great backround in PC/server hardware, it was easy for me to pick top-quality hardware and brand name components. I still have Pentium Pro servers that work! I chose the best hardware, put it in a rack mount server case, and voila! I have a NAS server. Here is the list of components:

We need an OS now, and for that I picked FreeNAS (http://www.freenas.org) which runs on FreeBSD. You can't ask for a more stable operating system. And by the way, the FreeNAS OS runs from memory and boots from a CF card (no chance of the hard drive crashing and destroying the config). This custom built NAS system has turned out great, and our client is very pleased with the money we saved them.
